Welcome to Pixel Waves Design. These Terms of Service legally bind you ("Client", "User") and Pixel Waves Design ("Agency", "We", "Us") regarding your use of our website, digital platform, and all associated agency services.

By accessing our platform or engaging our digital services, you universally agree to be governed by these Terms. If you do not agree with any structural part of these terms, your only recourse is to discontinue the use of our website and services immediately.

1. Provision of Services

Pixel Waves Design operates as an elite digital agency providing bespoke solutions including Web Development, SEO Strategy, Graphic Design, Mobile Application Architecture, and high-conversion Digital Marketing.

Service Scope: Delivery of services will strictly adhere to the explicitly signed proposal, Statement of Work (SOW), or Master Service Agreement (MSA) agreed upon before project commencement.
Timeline Variations: While we fiercely target projected milestones, unforeseen architectural challenges or third-party delays do not constitute a breach of this agreement.
Right of Refusal: We unconditionally reserve the right to refuse service, terminate client relationships, or cancel projects if engagements violate ethical boundaries or operational parameters.

2. Intellectual Property Rights

The synthesis of creativity and code remains strictly regulated. Protect your assets as we protect ours:

Agency IP: Unless explicitly transferred in writing via completion of all outstanding invoices, Pixel Waves Design retains total copyright and intellectual property rights over all distinct codebases, proprietary marketing methodologies, graphics, and architectural designs engineered by our team.
Client Assets: The client holds total responsibility for ensuring they possess proper legal rights, trademarks, or permissions to use any raw material, text, brand identity, or imagery provided to us during a project lifecycle. We are absolutely indemnified against any breach of copyright caused by client-supplied media.

3. Billing, Payments, and Final Deliverables

To guarantee continuous agency operations, stringent financial parameters apply to all digital services rendered:

Retainers & Invoicing: Ongoing campaigns (such as SEO or Retained Advertising) operate on a strict pre-paid structural basis. Invoices remaining unpaid for over 7 business days will result in an immediate operational suspension of active campaigns.

Delivery Release: Under zero circumstances will source code, administrative rights, final graphic composites, or domain transfers occur before 100% of the financial obligation for specific milestones has been successfully transacted and cleared into agency accounts.

4. Limitation of Liability and Warranties

We execute industry best practices aggressively; however, variables outside our domain exist:

No Absolute Guarantees: Pixel Waves Design cannot legally or practically guarantee exact algorithmic positioning (SEO), precise revenue figures, or unyielding continuous uptime of third-party hosting infrastructures. Search engines and ad-network algorithms are external entities subject to rapid fluctuation.

Liability Cap: In no event shall Pixel Waves Design, its executives, nor its engineers be held liable for any indirect, incidental, special, or consequential damages (including absolute loss of revenue, data disruption, or algorithmic penalties) arising out of the use or inability to leverage our services. Our maximum liability holds strictly to the total financial capital paid by the client exclusively within the preceding 30-day window.

5. Revisions and Scope Creep Mitigation

We strive for absolute design perfection. Standard functional projects include a specific, predefined subset of revision cycles (normally documented in the SOW). Requests heavily modifying core architectural layouts, adding previously un-quoted features, or expanding the functional requirements mid-project define "Scope Creep." These requests will automatically generate a supplemental invoice based on our standard hourly agency rate and require authorization prior to execution.

6. Termination Protocol

Either entity may sever the operational relationship given a formal 30-day written electronic notice unless structural milestones dictate otherwise. Upon termination trigger:

The client is immediately obliged to settle all financial debt encompassing work engineered up to the termination date.
Deposits utilized to reserve strategic engineering slots or sprint capacity remain strictly non-refundable.

7. Dispute Resolution and Governing Law

These comprehensive terms and any secondary agreements whereby we allocate services to you shall be governed by and constructed in total accordance with the laws of Pakistan. Any potential litigation or dispute must be aggressively sequestered exclusively within the jurisdictional courts located in Karachi.
